instructor terms

When you send a request to become an instructor on the Elechool LLC platform, you agree to abide by these Instructor Terms (“Terms”). These Terms cover details about the aspects of the Elechool LLC platform relevant to instructors and are incorporated by reference into our terms and conditions, the general terms that govern your use of our Services. Any capitalized terms that aren’t defined in these Terms are defined as specified in the Terms of Use.

Instructor Obligations

As an instructor, only you are responsible for all content that you post, including lectures, quizzes, assignments, resources, answers, assessments, and announcements (“Submitted Content”) without any responsibility or liability on Elechool LLC.

You represent and warrant that:

  • you will provide and maintain accurate account information;
  • you own or have the necessary licenses, rights, consents, permissions, and authority to authorize Elechool LLC to use your Submitted Content as specified in these Terms and Elechool LLC terms and conditions;
  •  your Submitted Content will not infringe or misappropriate any third party’s intellectual property rights; 
  • you have the required qualifications, credentials, and expertise (including education, training, knowledge, and skill sets) to teach and offer the services that you offer through your Submitted Content and use of the Services; and 
  • you will ensure a quality of service that corresponds with the standards of your industry and instructional services in general.

You warrant that you will not:

  • post or provide any inappropriate, offensive, racist, hateful, sexist, pornographic, false, misleading, incorrect, infringing, defamatory or libelous content or information; 
  • post or transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, or any other form of solicitation (commercial or otherwise) through the Services or to any user; 
  • use the Services for business other than providing tutoring, teaching, and instructional services to students; 
  • engage in any activity that would require us to obtain licenses from or pay royalties to any third party, including the need to pay royalties for the public performance of a musical work or sound recording; 
  • frame or embed the Services (such as to embed a free version of a course) or otherwise circumvent the Services; 
  • impersonate another person or gain unauthorized access to another person’s account; 
  • interfere with or otherwise prevent other instructors from providing their services or content; or 
  • abuse Elechool LLC resources, including support services.

License

You authorize Elechool LLC to sublicense these rights to your Submitted Content to third parties, including to students directly and through third parties such as resellers, distributors, affiliate sites, deal sites, and paid advertising on third-party platforms.

Reservation of Rights

You understand that your use of the Services is subject to Elechool LLC’s approval, which we may grant or deny at our sole discretion.

We reserve the right to remove content, suspend payouts, and/or ban instructors for any reason at any time, without prior notice, including in cases where:

  • an instructor or content does not comply with our policies or legal terms (including Elechool LLC Terms and conditions); 
  • content has a negative impact on the student experience;
  • an instructor engages in behavior that might reflect unfavorably on Elechool LLC or bring Elechool LLC into public disrepute, contempt, scandal, or ridicule;

You give us permission to share your Submitted Content for free with our employees, with selected partners, and in cases where we need to restore access to accounts who have previously purchased your Submitted Content. You understand that you will not receive compensation in these cases.

Payments

When a student purchases your submitted content, Elechool LLC will notify you and provide you with the corresponding payment, minus any applicable fees, as described later.

You acknowledge and agree that:

  • Elechool LLC will retain a portion of the fees paid by students for access to your Submitted Content, as explained later; 
  • Any revenue share payable to you is exclusive of any applicable taxes, and you are solely responsible for paying such taxes; 
  • Elechool LLC reserves the right to withhold any payments if we believe that the payment is erroneous, fraudulent, or violates these Terms or our terms and conditions, or if we are required to do so by law; 
  • If we are unable to process payment to you for more than six months because of invalid account information or any other reason, we may be required by law to escheat your payment, and you agree that we may do so in accordance with applicable law; and 
  • You are responsible for providing Elechool LLC with accurate and complete billing and contact information.
  • As an instructor, you will receive 70% of the net income from the sale, after deducting transaction fees and payment processing fees. This net amount is calculated after any refund processes. The minimum amount required for withdrawal is $50.
  • To withdraw your revenue, you must have a valid bank account in your own name.
  • The applicable fees will vary depending on the chosen payment method. When choosing to receive payments through your local bank account, fees may apply, especially for currency conversion. The exchange rate used for conversion will be based on wholesale currency market rates at the time of the transaction, sourced from various financial institutions.  Please be aware that recipient banks may also impose additional fees, such as bank processing fees, landing fees, or other intermediary fees.
  • Payments will be made on the 10th of each month. Please note that during holidays, there may be a delay in the payment reaching you.

If we change this payment rate, we will provide you 30 days notice using prominent means, such as via email or by posting a notice through our Services.

Refunds

You acknowledge and agree that students have the right to receive a refund, as detailed in the Terms and Conditions. Instructors will not receive any revenue from transactions in which a refund has been granted under the Terms and Conditions.

If a student asks for a refund after Elechool LLC has paid the relevant instructor payment, Elechool LLC may deduct the amount of the refund from the next payment sent to the instructor or require the instructor to refund any amounts refunded to students for the instructor’s submitted content.

Changes

We may update or modify these Instructor Terms from time to time to, for example, reflect changes in our business model or practices, changes in our platform, or legal or regulatory changes. If we make material changes, we will notify you before the changes take effect. Your continued use of the Services after the effective date of any changes to these Terms means that you accept and agree to the changes

Governing Law and Dispute Resolution

These Terms and any disputes arising out of or related to these Terms or the Services will be governed by the laws of the State of Wyoming, without giving effect to its conflict of laws provisions. Any dispute arising out of or related to these Terms or the Services will be resolved through binding arbitration, administered by the American Arbitration Association, in accordance with its Commercial Arbitration Rules and, where applicable, its Supplementary Procedures for Consumer-Related Disputes. Judgment on the arbitration award may be entered in any court having jurisdiction. Any arbitration under these Terms will take place on an individual basis; class arbitrations and class actions are not permitted.
